Warner Bros Discovery shareholders voted overwhelmingly on April 23 to approve a merger with Paramount Skydance, valuing the deal at an enterprise value of $110 billion, pending regulatory approval.

Warner Bros. Discovery shareholders held a special shareholders' meeting on April 23, approving by overwhelming vote a merger agreement with Paramount-Skydance.

The merger will be completed as a cash acquisition at $31 per share, with total enterprise value reaching $110 billion.

Upon merger completion, Paramount-Skydance will acquire Warner's HBO, CNN, Warner Bros. film studio, and DC franchises and other important assets.

Additionally, Paramount's CBS, MTV, Nickelodeon, and Paramount+ streaming platform will also be incorporated into the new company's portfolio.

Although the merger agreement received approval, shareholders subsequently voted non-bindingly against CEO Zaslav's severance compensation package. Since this vote lacks legal binding force, Zaslav will still receive corresponding compensation according to his contract.

The US Department of Justice, EU, and UK regulatory bodies are currently conducting antitrust reviews of the transaction. Both parties expect the merger to be officially completed in the third quarter of this year, pending all regulatory approvals.
